Terms of Service

Agreement

These terms govern your use of the Euclase desktop application, the euclase.ai website and the services behind them (together, “Euclase”), provided by Nia Labs LLC (“we”, “us”). By creating an account or using Euclase you agree to these terms and to our Privacy Policy. If you use Euclase for an organization, you agree on its behalf and confirm you are authorized to do so.

Your account

You need an account, made with your email or Google, to download and activate Euclase. Give accurate information, keep access to your email and Google account secure, and tell us at [email protected] if you think someone else has used your account. You are responsible for what happens under your account. You must be at least 13 years old, or the minimum age of digital consent where you live, to use Euclase.

Your license to use Euclase

While your account is in good standing, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use Euclase on the number of computers your license allows. Euclase remains ours; you may not sell, rent, sublicense or redistribute it, remove its notices, circumvent its licensing or security checks, or reverse engineer it except where the law expressly allows.

Some features or editions may require a paid plan. If we offer one, its price and any additional terms will be shown before you buy.

Pre-release software

Euclase is in active development. Features may change, break or be removed, and pre-release versions may contain bugs. Keep your own backups of anything important.

Acceptable use

You agree not to use Euclase to:

  • break the law or infringe anyone else’s rights, including intellectual property and privacy rights;
  • create or share sexual content involving minors, or content that harasses, threatens or defames others;
  • create deceptive content intended to impersonate real people or mislead others in harmful ways;
  • interfere with, overload or gain unauthorized access to Euclase, our servers or other people’s accounts or devices; or
  • share your account or license with others, or resell access to it.

Your work

Euclase runs on your computer and on compute accounts you control. You own the prompts, images, videos and projects you create, as far as the law and the terms of the models you use allow, and we claim no rights in them. You are responsible for your work and for having the rights to anything you bring into Euclase.

Models and third-party services

Euclase can work with third-party software, AI models and services, such as ComfyUI, model repositories and RunPod. Your use of them is governed by their own licenses and terms, which you are responsible for following, and any charges they make (such as RunPod compute) are between you and them. We are not responsible for third-party software, models or services.

Feedback

If you send us feedback or suggestions, we may use them to improve Euclase without any obligation to you.

Suspension and termination

You can stop using Euclase and ask us to delete your account at any time. We may suspend or end your access, including revoking your license, if you break these terms, if required by law, or if we discontinue Euclase; where reasonable we will give you notice first. Sections that by their nature should survive, such as ownership, disclaimers and limits of liability, survive termination.

Disclaimers

Euclase is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that Euclase will be uninterrupted or error-free, or that anything a model generates will be accurate, appropriate or free of third-party rights.

Limitation of liability

To the fullest extent permitted by law, Nia Labs LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of Euclase. Our total liability for any claim relating to Euclase is limited to the greater of the amount you paid us for Euclase in the 12 months before the claim and US$50. Nothing in these terms limits liability that cannot be limited by law.

Changes to these terms

We may update these terms as Euclase changes. We will update the effective date above and, for significant changes, let you know by email or in the app before they take effect. Continuing to use Euclase after that means you accept the updated terms.
